When your directors live abroad but the company's UK

A properly trading UK-registered company whose directors simply happen to be based overseas. Most funders reject this on policy alone, without looking further — the right one won't.

In short

A large number of UK vehicle funders simply require a UK-resident director on the board and decline companies without one, regardless of how strong the underlying business is — that's internal policy, not any legal requirement. Funders who work in this space will underwrite a UK-registered company where every director sits overseas, weighing the company's trading position, UK banking, ownership structure and, typically, a larger initial payment. Expect to supply more paperwork and to wait longer than a standard application would take.

The real obstacle

Why the automatic decline happens

It comes down to enforcement and identity verification, not to any judgement about your business.

Funders build their processes around UK-resident individuals: electoral roll checks, UK credit files, UK address history, and — if things go wrong — UK legal recourse against a guarantor. A director resident in Dubai, Dublin or Delhi breaks all four assumptions at once. Rather than build a process for it, most funders simply exclude it.

The funders we use have built that process. It involves more documentation and takes longer, but it produces approvals rather than automatic rejections.

What strengthens the case

Genuine UK operations

UK staff, a London office, UK customers — evidence the company is trading here rather than just registered here.

A larger initial payment

The most reliable lever in any specialist case. It directly reduces the funder's exposure.

A UK-resident guarantor

If any director, shareholder or senior employee is UK resident and willing to guarantee, it simplifies the case considerably.

Established banking

A UK business bank account with a meaningful transaction history carries real weight when the credit file is thin.

A shorter term

Six or twelve months is far easier to underwrite than four years. Short-term is an advantage here, not a compromise.

Complete paperwork, first time

Incomplete overseas documentation is the single biggest cause of delay. Get certified copies before you start.

Frequently asked questions

Yes. A great many mainstream funders simply require a UK-resident director and auto-decline anything without one — a house policy rather than a legal rule. Funders who specialise in this area will underwrite a UK-registered company with entirely overseas directors, provided the paperwork stacks up and usually a bigger initial payment sits alongside it.

Company registration details, the full director register with residential addresses, certified ID for every director, proof of a UK trading address, business bank statements, and the ownership structure laid out clearly. Anything not in English typically needs a certified translation.

Not with the funders we use. If you happen to have one, mention it — it tends to smooth the process — but its absence isn't a dealbreaker here.

Any authorised signatory, which can be an overseas-based director. Some funders ask for a personal guarantee, and enforcing that against someone outside the UK is more complicated legally, which is often why a larger initial payment gets requested instead.

Longer than the standard route. Verifying identity for overseas residents and certifying or translating documents both take time. Budget for a couple of weeks rather than a couple of days, and start the process earlier than feels necessary.
